Bio

Mr. Aust established his own law practice in 2010, after moving on from one of Canada’s most prominent national law firms, McCarthy Tétrault, where he was a member of the business law group. In such capacity, he acted as legal counsel for leading Canadian and international companies. Working there for several years, Mr. Aust represented leading privately and publicly-held corporations in a wide range of commercial transactions and securities law matters.

Having spent the first part of his legal career working with multinationals, his practice now focuses on providing savvy business law services in corporate and commercial law for small and medium size organizations.

Mr. Aust also focuses on the drafting and negotiating employment contracts for executives. He is the co-author of Le contrat d’emploi, a book published in October 2013 by Éditions Yvon Blais Thomson Reuters. The book attempts to bridge the gap between corporate law and employment law. The authors touch, among other subjects, on the obligations of good faith in pre-contractual and contractual negotiations, incentive compensation plans for key employees, including, namely stock option plans and earn-outs, as well as non-competition provisions.

Mr. Aust comes from a bicultural background (French and English). He has travelled extensively in Asia, Europe, Australia as well as South America and enjoys playing a variety of sports including basketball and squash.

Mr. Aust is also an associate of the American Bar Association (ABA).

Pamela McGovern is a fluently bilingual experienced lawyer having worked for over 5 years as General counsel at one of Canada’s largest public utilities and 25 years in a major Montreal based law firm. While working in-house, she was responsible for managing a team of 45 lawyers specializing in various areas of law including commercial, transactional, intellectual property, litigation, construction, environmental, labor, administrative, regulatory and public law. She was actively involved in all legal issues and provided strategic advice to senior management as well as risk assessment on a quarterly basis. She also led the team for the negotiation of a broad-based, global marketing of key patents through an alliance with several international partners. She also worked on the drafting of agreements for the research and development joint venture with a major Japanese company for the development of energy storage systems.

Ms. McGovern managed and supervised complex litigation and dispute resolution in high profile cases including construction, patent, energy, aboriginal and commercial matters and attained set goals to reduce outside counsel cost.

As a commercial litigator, Ms. McGovern specialized in construction, insurance and civil liability disputes. She is also an acknowledged expert in surety law having participated in the drafting of the standard form surety and indemnity agreement used by most Canadian surety companies. She successfully represented clients in different types of alternative dispute resolution including mediation and arbitration.

She is one of the co-authors of Suretyship under Quebec civil law: Scott & Reynolds on Surety Law (Carswell) from 2006 to 2012 and has presided on many conferences on construction law for the Canadian Institute, the Federal Press and the IADC.

Ms. McGovern was a board member of the International Association of Defense Counsel from 2011 to 2014 and is an active member of the Construction Law Committee of this association.

She is a member of the board of directors of Maison Bieler Inc. and is working on a project for Canadian veterans suffering from post-traumatic stress disorder. She is a Trustee of the Canadian Irish Studies Foundation of Concordia University.

Prior to joining Aust Legal, Caroline clerked at the Supreme Court of Canada for Justice Rosalie Silberman Abella.  Caroline also articled at a prominent international law firm, where she worked on disputes involving aboriginal, employment, and construction matters. She also assisted small businesses with a variety of corporate and commercial matters.

Prior to entering the legal profession, Caroline worked as a project manager at the Nature Conservancy of Canada, a non-profit land conservation organization. She also helped develop international policies on biodiversity conservation for the United Nations Environment Programme.

Caroline’s practice focuses on corporate and commercial matters as well as files relating to employment law.

Mr. Aust has been associated with Aust Legal Inc. as Senior Counsel since 2010. In 2015, he became Senior Strategic Advisor, when he ceased practicing law.

His legal practice focused on the laws affecting organizational behavior, including director responsibilities, executive employment and labour relations.

After graduating from the Law Faculty of McGill University, he completed his articling and joined the international law firm of Stikeman Elliott in Montreal where he worked for 20 years. He was a member of the Executive Committee, Chair of the Employment Law Group.

He resigned as Senior Partner at the end of 1997, and accepted the offer to become Senior Advisor to its Senior Executive Committee of the Royal Canadian Mounted Police reporting to the Commissioner. In this position, he was involved with the realignment of national headquarters. He returned to private law practice 2000.

During his career, Mr. Aust has represented clients before the Supreme Court of Canada, the Court of Appeal of Quebec, various trial courts and numerous administrative tribunals.

He led several independent inquiries into private and public institutions, including a major university’s administration, Health and Safety in the Canadian Grain Industry and the Competitive Position of Canadian Ports Relative to USA Ports and on three occasions headed inquiries into the methods of establishing compensation for the RCMP. He has been a guest expert and/or lecturer at national institutions and universities and in the USA, China, Russia, Japan, UK, Switzerland, Mexico, Jamaica and Tunisia.

In 2013, he was a sessional visiting professor of Organizational Analysis and Innovation in the International Tsinghua-MIT MBA program, at the School of Economics and Management in Beijing.

Mr. Aust is founding Editor-in-Chief and co-author of Executive Employment Law, a loose-leaf service published by LexisNexis since 1992 and which continues today. He is co-author of several legal publications in English, French and Chinese. These include Le contrat d’emploi, published by Éditions Yvon Blais-Thomson Reuters in 1988 when it set sales records for legal publications. The third edition was published in 2013.

Monique has worked as a paralegal since 1989. As a paralegal trained in corporate law, she has participated in numerous commercial transactions by drafting the documentation related to incorporations, mergers, acquisitions and restructurings of companies. She also conducts various due diligence exercises related to these types of transactions.

Monique worked for more than 20 years at McCarthy Tétrault, a national Canadian law firm, where she was a senior paralegal. From September 2011 to December 2012 she was the director of business law services at the same firm. As such, she supervised all the corporate services provided by the members of the business law group in Montreal. Her tasks included training and support of law students as well as of paralegals.

Ginette was part of the Library team at McCarthy Tétrault, one of Canada’s largest law firms, for 25 years and has extensive experience with all facets of library research.  She was responsible for the development and maintenance of Library Services online content, as well as training articling students, lawyers and staff on internal resources.  She worked closely with the senior leadership team in the creation of comprehensive ROI analysis and reports. In addition to the support of the Library Services product, Ginette conducted various due diligence exercises related to the firm’s transactions.
